OREANDA-NEWS. The Board of directors of OJSC “Siberian Coal Energy Company" has approved the final agenda of the extraordinary meeting of shareholders which carrying out is appointed on December 20, 2006.

According to the press-service of SUEK, the agenda of the meeting included the issues on approval of new structure of the Board of directors of the company (quantitative and personal), the auditor for carrying out of audit for 2006 according to the international financial reporting standards (IFRS) and Regulations about remuneration of members of the Board of directors of the company in a new wording.

Chairman of the Board of directors of OJSC “SUEK” Stanislav Shekshnja has noted that creation of modern corporate governance system corresponding to the advanced international standards is completed at SUEK, the mid-term business-strategy is being successfully developed and realized, the company has reached financial and operational stability. SUEK begins a new stage in the development where the central problem is development and introduction of long-term strategy on increase in the cost of business and achievement of the level of the leading world companies of the coal and energy sector in basic production and financial parameters. The partial replacement of the Board of Directors will take place within the company; all future directors are elected as a result of careful joint work of shareholders and the company and are high-level professionals.

The Board of directors recommended the meeting of shareholders to elect the following candidates:

1. Martin Andersson - partner-founder of Brunswick Group;

2. Dmitry Bosky - founder and managing partner of Berkley Capital Partners;

3. George Cardona - founder and executive director of Cardona Lloyd and Co Ltd;

4. Stephan Ducharme - adviser of Sun Interbrew Group;

5. Michael Kisljakov - general director of the investment company "East Broker";

6. Alexander Landia - partner, operating director, head of the international gas direction of activity Accenture GmbH;

7. Andrey Melnichenko - member of the Board of directors of MDM-bank;

8. Sergey Popov - member of the Board of directors of MDM-bank;

9. Anatoly Ruban - Deputy Director of Scientific Work of the Institute of Bowels Complex Development Issue of the Russian Academy of Science

Shareholders are offered to approve JSC “Deloitte & Tousche CIS” as auditor for carrying out of audit for 2006 according to IFRS.
 
Also shareholders are offered to approve new edition of Regulations about remuneration of members of the Board of directors.
