OREANDA-NEWS. August 3, 2010. The repeat annual general shareholders meeting of Dagsvyazinform was convened in Makhachkala, the incumbent telecom operator in the Republic of Dagestan (hereafter, the Company).

The Company's shareholders voted virtually unanimously to support the reorganization through a merger between Dagsvyazinform and Rostelecom.  All in all, shareholders owning 7,777,986 shares (92.4088% of the voting shares (common and preferred) took part in the merger issue. A total of 7,757,770 votes were cast, i.e. 99.7401%.

The annual general shareholders meeting also approved the company’s annual financial statement, the annual accounting reports, including the profit and loss statement. Based on a resolution, the Company’s profit in fiscal 2009, equal to RUR 549,000 is to be allocated to raise the charter capital.

A new 7-man lineup of the Company's Board of Directors was elected, as follows:

Alexander Afanasyev, deputy general director/head of Rostelecom’s southern branch;

Denis Afanasyev, deputy advisor to Telecommunications Minister;

Gamzat Gamzatov, president of Dagsvyazinform;

Khava Zakharova, general director of Kurban Zakharov Dagestan Cellular Telecommunications;

Mikhail Kritsky, deputy general director of Svyazinvest;

Georgy Romsky, advisor to the general director of Svyazinvest;

Alexander Shipulin, general director of UTK. 

The Company's 3-man Audit Committee was elected, as follows:

Ilya Kornienko, chief specialist, finance department of Svyazinvest;

Tigran Melkumyan, head of the treasury and liquidity management division, finance department of Svyazinvest;

Kirill Nikonov, chief specialist, department of corporate governance and legal support of Svyazinvest.

ZAO BDO was appointed as Dagsvyazinform’s 2010 auditor.

Mikhail Kritsky was elected as Chairman of the Board of Directors at the first meeting of the new Board of Directors, which was held after the end of the annual general shareholders meeting.
