RusHydro Completed First Stage of Consolidation Process
OREANDA-NEWS. January 22, 2007. Termination of the following companies affiliating with JSC “RusHydro” was registered in the Unified State List of Entities: JSC “Volzhskaya HPS”, JSC “Zhigulevskaya HPS”, JSC “Votkinskaya HPP”, JSC “Sajano-Shushenskaya HPS named after Neporozhni”, JSC “Zeyskaya HPS”, JSC “Sulakenergo”, JSC “Zelenchugskije HPPs”, JSC “Kabbalk HPS”, JSC “Regional Power Generation Company of Dagestan”, JSC “Stavropol Electric Generation Company”, JSC “Zagorskaya HPS”, JSC “Burejskaya HPS”, JSC “North-Osetian GGK”, JSC “Cheboksarskaya HPS”, JSC “Nizhnegorodskaya HPS”, JSC “Saratovskaya HPS”, JSC “Kamskaya HPS”, JSC “Cascade VV HPPs”, JSC “Kabardino-Balkar Generation Company”, JSC “EOZ”. Total 20 affiliates and subsidiary companies joined JSC “RusHydro”, reported the press-centre of JSC “RusHydro”.
To prevent sale of shares of the affiliating companies after their termination on December 26, 2007 shares of the following companies were retired from the circulation at JSC Share Market “Moscow Interbank Currency Exchange” and JSC “Share Market of Russian Trading System”: JSC “Votkinskaya HPS”, JSC “Zagorskaya HPS”, JSC “Regional Power Generation Company of Dagestan”, JSC “Stavropol Electric Generation Company”, JSC “Volzhskaya HPS”, JSC “Zhigulevskaya HPS”, JSC “Zeyskaya HPS”, JSC “Sajano-Shushenskaya HPS named after Neporozhni”.
It is planed to do State registration of the reports on the results of the additional issues of the Company’s shares allocated from the converted shares of the affiliated companies in January-February 2008. JSC “RusHydro” plans to complete measures on placement the Company’s shares at JSC Share Market “Moscow Interbank Currency Exchange” and JSC “Share Market of Russian Trading System” in February 2008.
It is planned to complete the process of formation of the target model of JSC “RusHydro” as an operating company by July 2008; by that time the Company will establish control over the affiliated hydropower plants and will practice corporate management covering the design institutes and subsidiary companies, created for the purpose of realization of investment projects (such as construction of power plants of different types).
JSC “Cascade Nizhne-Cherekskikh HPPs”, JSC “Irganai HPS” together with JSC “RusHydro State Holding” and JSC “RusHydro Minor Holding” (private share holders) companies formed at the last stage of the reforming process of RAO “UES of Russia” will join the Company according to the set schedule.
