OREANDA-NEWS. April 28, 2008. VTB Member of the Management Board Olga Dergunova joined the Board of Directors of Systematica Group as its first outside director, reported the press-centre of VTB.

Her terms of reference will comprise involvement in processes such as working out the corporate strategy, evaluating compliance by executive bodies with the elected strategy, and adopting the best corporate governance models.

The decision to invite outside directors to join Systematica Group’s Board of Directors was intended to improve the corporate governance and to achieve its better transparency and efficiency. Systematica Group expects to bring in top managers from a variety of sectors having recognised professional reputation and great experience in building the corporate governance system.

For VTB Bank, such event means an important stage in exchange of experience and management methodology with major Russian partners, in development of a positive and solid relationship with key Russian companies.

Olga Dergunova’s background:
After having graduated from the cybernetics faculty, Plekhanov Russian Academy of Economics, Ms. Dergunova served for the joint section of the Computation Centre at the USSR Academy of Sciences, Voskhod Research Institute, the National Economy Academy under the USSR Council of Ministers.

From 1990 through 1992, Ms Dergunova was employed by Paragraph Joint Venture; from 1992 through 1994, served for Microinform Joint Venture; from 1994 through 2007 was Microsoft’s key client manager, general manager, head of its representative office and regional chair of Microsoft Russia and CIS.

From 2007 up to now Ms Dergunova has been serving for VTB Bank as a member of the Management Board and head of the Second Corporate Segment, the Customer Committee Chairperson, a member of the Asset and Liability Committee, a member of VTB Insurance Board of Directors, and a member of VTB24 Supervisory Council.
