OREANDA-NEWS. On 22 July 2009 XXI Century Investments Public Limited (LSE: XXIC) made the following announcement with regard to the restructuring of its USD 175 million 10% Guaranteed Secured Notes due 2010 (the "Notes"). The Company has issued an aggregate of 2,068,698 new ordinary shares in the Company. Such new shares shall be represented by new depositary interests ("DIs") issued to the holders of the Notes. In addition, the Company has issued 163,241 warrants to the holders of the Notes giving the entitlement to 4,244,266 shares in the Company (the "Warrants"). The Warrants may be exercised during the period from 24 May 2012 to 24 May 2013.

The DIs and the Warrants represent a consent fee in consideration of the agreement of the holders of the Notes to the amendments to the terms and conditions of the Notes as set out in the Solicitation Statement released by the Company on 11 June 2009.

The Company has made an application to admit its 2,068,698 new shares to trading on AIM. The new shares are expected to be admitted to trading once the current trading suspension in respect of the Company's shares is lifted.

Publication of Annual Accounts

The Company also wishes to provide an update on the timing of the release of its financial statements for the year ended 31 December 2008. Previously it was anticipated that the accounts would be available for publication this week of 20 July 2009; however, it is now expected that some additional time will be required to finalise them. The Company continues negotiations regarding restructuring agreements with local banks on the Company's secured credit facilities, and a further update will be made in due course.
