OREANDA-NEWS. On 23 July 2009 was announced, that an Extraordinary General Meeting of Shareholders of JSC "Irkutsk Electric Grids"  was held in Irkutsk. The shareholders owing over 90% of the company shares took part in the meeting. According to the agenda:

It was resolved to restructure JSC "Irkutsk Electric Grids" in the form of a merger with Open Joint-Stock Company "Irkutsk Electric Grid Company" that was created as a result of restructuring into it of "Irkutsk Electric Grid Company" limited liability company under the terms and conditions stipulated in the contract on merger.

The meeting elected a new composition of the Board of Directors of JSC "Irkutsk Electric Grids" in the number of seven people:

1.V.M.Azbukin – Deputy Minister of Energy of the Russian Federation;

2.V.N.Kiselyov – Chairman of the Management Board, Non-for-Profit Partnership of Guaranteeing Suppliers and Power Supply Companies;

3.A.S.Yugov – Head of the Department of Russian Property Management;

4.I.S.Ageichev – Director for Business Projects Support, N+ Development ltd;

5.E.S.Kuimov – Head of the Economic Department, JSC Irkutskenergo;

6.M.M.Kulikov – Director for Strategic Planning and Investments of EuroSibEnergo ltd;

7.R.A.Yakovlev – Director for Legal Issues, EuroSibEnergo ltd.

The meeting also elected new members of the Company’s Checkup Committee (three people);

1.A.A.Ozherelieva – Councilor of the Department of Ministry of Energy of Russia;

2.V.O.Yushkova – Leading Specialist of the Audit Department of Irkutsk branch of EuroSibEnergo ltd;

3.D.D.Pogosbekov – Manager for Tax Treatment of the Financial Department, EuroSibEnergo ltd.

FinExpertise ltd was appointed the Company Auditor for 2009.

JSC "Irkutsk Electric Grids" was registered by the interdistrict inspection of the Tax service of the Russian Federation No. 17 in the Irkutsk Region as of December 31, 2008. The Company possesses the transmission and distribution grids of more than 35 thousand km total length, providing the connection with neighbor regions and supply of electric power to the final consumers. The State possesses 41% of the shares of JSC "Irkutsk Electric Grids”.

LLC "Irkutsk Electric Grid Company" was created on the basis of the grid branches of JSC Irkutskenergo in accordance with the federal law "On Peculiarities of Functioning of Power Sector during the Transitional Period…" for carrying out of the power transmission activity. On June 30, 2009 LLC "IEGC”, by the decision of the sole participant, was reorganized into OJSC "IEGC"  (Open Joint Stock Company "Irkutsk Electric Grid Company”). The sole shareholder of JSC "IEGC" is JSC "Irkutsk Power Grids”.
