OREANDA-NEWS. January 21, 2010. The Bank of Russia has registered the report on the issuance of 28 302112 additional uncertified registered ordinary shares of JSC TransCreditBank with the nominal value of RUB 1 per share. The placement was completed via a conversion into the shares of JSC TransCreditBank of the shares of the credit institutions being merged: JSC MeTraComBank (Rostov-on-Don), JSC Superbank (Blagoveschensk), JSC Chitapromstroybank (Chita), JSC Bank Yugo-Vostok (Voronezh). As a result of the share issue the authorized capital of TransCreditBank reached RUB 2 286 702 112. The Bank of Russia has registered the amendments to the bank’s Charter related to the increase in authorized capital. The decision to increase the authorized capital of the bank as part of reorganization of JSC TransCreditBank in the form of a merger of the four subsidiary credit institutions was adopted by the extraordinary general meeting of shareholders of TransCreditBank on October 26th 2009.

The major corporate procedures relating to the merger of TransCreditBank with its subsidiaries have been completed: the bank received a certificate from the Bank of Russia confirming the entry of its new constituent documents into the Uniform State Register of legal entities, certificates of entry into the Uniform State Register of legal entities of the information that the merged subsidiaries had ceased their operations, JSC TransCreditBank’s charter as amended, and an announcement that the new branches that were opened instead of the merged subsidiaries had been assigned their numbers.
