OREANDA-NEWS. November 17, 2010. UC RUSAL (HKSE: 486, Euronext: RUSAL/RUAL), the world’s largest aluminium producer and owner of a 25% stake in MMC Norilsk Nickel (‘MMC’), announces that it has sent a request to the CEO of Norilsk Nickel asking for copies of the voting papers from the extraordinary general meeting of shareholders (EGM) held on 21 October 2010.

RUSAL hopes that this request will be met and that copies of the voting papers from the EGM will be provided in accordance with the law. The company trusts that this issue will not require the intervention of the courts as was necessary in connection with the request for copies of the voting papers from the annual general meeting of shareholders (AGM) held on 28 June 2010.

Earlier, MMC failed to provide RUSAL with voting ballots from the AGM within seven days upon receipt of such request, contrary to article 91 of the Federal Law on Joint Stock Companies. RUSAL was forced to file a suit against MMC in the Krasnoyarsk arbitration court. Norilsk Nickel provided RUSAL with the copies of the ballots in the evening of the last working day before the first hearing of the case. Thus, management of MMC acknowledged the legitimacy of RUSAL’s shareholder claims, performing them on a voluntary basis without waiting for a court decision.

RUSAL will study the voting papers from the EGM to decide whether further action is required to protect shareholders’ rights and to restore corporate governance standards in the interests of all shareholders of MMC Norilsk Nickel.
