OREANDA-NEWS. April 11, 2011. JSC RusHydro (ticker symbol: RTS, MICEX, LSE: HYDR; OTCQX: RSHYY) announces that a meeting of the Company's Board of Directors was held in absentee voting.

The Board of Directors accepted the proposal of the Company's shareholder - the Russian Federation, holding 57.97% of voting shares of RusHydro - to submit the following issues for the agenda of FY 2010 Annual General Meeting (AGM) of shareholders of RusHydro: approval of the Company's annual report, annual financial statements, distribution of the net income for the fiscal year ended December 31, 2010, as well as amount, terms and form of distribution of dividends for the full year 2010; compensation of Board members; election of the Board of Directors; election of the Company's Auditing committee.

The full agenda, date, venue and other organizational issues of the AGM will be approved shortly at one of the meetings of the Board of Directors.

The Board of Directors accepted the following candidates[1] for election to the new Board of Directors by the AGM:

The Board of Directors accepted the following candidates[2] for election to the Company's Auditing committee by the AGM:

4.  Kochanov Andrey Aleksandrovich, Head of section of Internal Control Department, JSC RusHydro;

5.  Kudryashov Valentin Gennadyevich, Head of Internal Control Department, JSC RusHydro;

6.  Litvinova Elena Yurievna, Senior Specialist, Rosimushchestvo;

7.  Tikhonova Maria Gennadyevna, Director of the Department, Ministry of Energy of the Russian Federation;

The Board of Directors did not accept the proposal of ROF (CYPRUS) LIMITED to include Charles Henri Hirsch, Head of Eurostep (Cyprus) Ltd department in Moscow and an investment advisor of Equinox Fund Management, LLC, to the list of candidates for the election to the Board of Directors of RusHydro at the AGM. In accordance with article 53 of the Federal Law "On Joint-Stock Companies" the shareholders holding less than 2% of voting shares of the Company, cannot be included to the list of the candidates for election to the Company Board of Directors. As at the date of the proposal (March 10, 2011) ROF (CYPRUS) LIMITED owned less than 2% of the Company's stock.

The Board of Directors terminated the tenure of the Corporate Secretary Mikhail Davydov due to his change of jobs. The Board of Directors elected Marina Lukyanova as the new Corporate Secretary of RusHydro and its Board of Directors.
