OREANDA-NEWS. June 9, 2011. On 9 June 2011, Gazprom Neft held its annual general meeting of shareholders, which approved the Company’s annual report and annual financial statements for 2010.

Shareholders approved dividend payments of RUB 21.05 billion for 2010, which is 22% of Gazprom Neft`s net income under US GAAP in 2010. Dividends will be distributed to shareholders within 60 days. RUB 4.44 will be paid per share, which is 25% higher than in 2009.

The shareholders voted the following candidates from the list previously approved by the Board of Directors to Gazprom Neft’s Board:

Alexey Miller, Chairman of the Management Committee and Deputy Chairman of the Board of Directors of OAO Gazprom

Vladimir Alisov, First Deputy Head of the Legal Department of OAO Gazprom

Valery Golubev, Deputy Chairman of the Management Committee of OAO Gazprom

Nikolay Dubik, Member of the Management Committee and Head of the Legal Department of OAO Gazprom

Alexander Dyukov, Chairman of the Management Board of OAO Gazprom Neft

Andrey Kruglov, Deputy Chairman of the Management Committee and Head of the Department for Finance and Economics of OAO Gazprom

Alexander Mikheev, First Deputy Head of the Gas and Liquid Hydrocarbons Marketing and Processing Department of OAO Gazprom

Olga Pavlova, Member of the Management Committee and Head of the Asset Management and Corporate Relations Department of OAO Gazprom

Kirill Seleznev, Member of the Management Committee and Head of the Gas and Liquid Hydrocarbons Marketing and Processing Department of OAO Gazprom

Vsevolod Cherepanov, Member of the Management Committee and Head of the Gas, Gas Condensate and Oil Production Department of OAO Gazprom.

ZAO PricewaterhouseCoopers Audit was approved as Gazprom Neft’s auditors for 2011.

Shareholders approved the decision to pay remuneration to members of the Board of Directors based on the 2010 results and calculated in accordance with the “Regulations on the Procedure for Determining the Remuneration and Compensation to Members of the Board of Directors of Gazprom Neft”.

Shareholders also approved a new version of the Code of Corporate Conduct of Gazprom Neft, which was developed in accordance with the recommendations of the Federal Commission for the Securities Market of the Russian Federation and best practice in corporate governance.
