OREANDA-NEWS. November 10, 2011. The Board of Directors of JSC TGC-1 approved the prospectus for the issue of the Company’s bonds. Four tranches of debt securities (3rd, 4th, 5th and 6th series) with the amount of 2 million rubles each will be issued for the period of 10 years. Par value of bonds is one thousand rubles per bond.

According to the plans announced earlier, TGC-1 intends to issue bonds in order to involve financing for the construction of power unit CCGT-450 at Pravoberezhnaya CHPP. After the prospectus is registered, the Company will be able to place loans as soon as the needs for additional investments arise. Pursuant to preliminary estimates, the additional need for financing of new capacities at Pravoberezhnaya CHPP equals 7.7 billion rubles.

New debt issues will be placed at the trading site of JSC MICEX stock exchange by open subscription, JSC IC Leader will be the issue manager. Presently the bonds of TGC-1 of series 01 and 02 for the total amount of 4037.7 million rubles are traded at MICEX. The semi-annual coupon rate equals 8.5% for the first issue and 6.7% for the second period. The redemption period is until 2014.

Besides that, the Board of Directors approved the purchase of shares of JSC Khibinskaya Teplovaya Company (JSC KTC) by JSC TGC-1 in amount of 400 000 000 (four hundred million) pieces at the par value of 1 (one) ruble per share.

The increase of participation of JSC TGC-1 in JSC KTC by purchasing additional shares placed by closed subscription was approved at the meeting of the Board of Directors of JSC TGC-1 on April 22, 2011.

The funds shall be used for implementation of the project of constructing a heating main from Apatitskaya CHPP to the city of Kirovsk in Murmansk Oblast as a part of joint program of events with the administration of Murmansk Oblast to optimize the load of Apatitskaya CHPP and decrease the fuel oil dependency of the region by closing boiler facilities in Kirovsk and transfer the city heat supply system to Apatitskaya CHPP.

The Board also approved new Provisions on procurement of JSC TGC-1. The new version of the Provisions creates the Procurement committee of the Board of Directors of TGC-1. The structure of the Committee is subject to approval by the Board of Directors.
