OREANDA-NEWS. July 30, 2012. Russian Helicopters, part of Russian state defence holding Oboronprom and a leading global designer and manufacturer of some of the world’s most renowned, innovative and widely used helicopters, announces that the Annual General Meeting of Shareholders (AGM) held on 29 June 2012 passed a resolution to pay a dividend for the year and approved the election of the Board of Directors.

Shareholders resolved to pay a dividend of 5.15 rubles per ordinary share.  The company will pay out 25% of net profit for 2011, excluding profit resulting from the revaluation of shares in Kazan Helicopters and Ulan-Ude Aviation Plant owned by Russian Helicopters as of 31 December 2011.

The Board of Directors was elected as follows:

Aleksei Alyoshin, First Deputy Director General of Russian Technologies State Corporation;

Jean-Paul Bechat (independent director), Member of the Board and Office of GIFAS, independent director and Chairman of the Audit Committee of Alstom and Atos Origin;

Shiv Vikram Khemka (independent director), Vice Chairman of SUN Group;

Dmitry Lelikov, First Deputy General Director of Oboronprom;

Alexander Mikheev, Deputy General Director of Rosoboronexport;

Pavel Osin, Deputy General Director of Oboronprom for Legal and Corporate Affairs;

Dmitry Petrov, CEO of Russian Helicopters;

Jean-Loup Picard (independent director), independent aerospace and defence consultant;

Andrey Reus, General Director of Oboronprom.

The new composition of the Board of Directors includes Aleksei Alyoshin, First Deputy Director General of the Russian Technologies State Corporation, who replaces Dmitry Kolodyazhny, Managing Director of the United Engine Building Corporation.

The AGM also approved the Audit Committee as follows:Maria Nikolaeva, Chief Accountant of Oboronprom; Natalia Fomina; Deputy Chief Accountant of Oboronprom; and Zoya Kuzmich, Head of the Financial Department of Oboronprom.VPK was approved as the Company’s auditor for 2012.

The Company’s annual report and annual financial statements, including the profit and loss account, for 2011 were approved.The AGM also approved a number of resolutions on financing the Company’s future development.
