PhosAgro ("the Company") (Moscow Exchange, LSE: PHOR), one of the world's leading vertically integrated phosphate-based fertilizer producers, announces that it has been informed by Adorabella Limited and Vindemiatrix Trading Limited of changes to their stakes in PhosAgro following transactions involving the Company's shares.

Adorabella Limited has informed PhosAgro that it purchased 538,684 ordinary PhosAgro shares (representing 0.42% of the Company's outstanding shares) for USD 20.75 million. Vindemiatrix Trading Limited has informed PhosAgro that it sold 538,684 ordinary PhosAgro shares for USD 20.75 million.

According to information available to PhosAgro, ownership of Vindemiatrix Trading Limited is held by a trust, the economic beneficiary of which is Igor Antoshin, an Advisor to PhosAgro's CEO and an Executive Director on the Company's Board of Directors. Vindemiatrix Trading Limited currently owns a 2.88% stake in PhosAgro, and Igor Antoshin owns a 1.92% stake in PhosAgro.

According to information available to PhosAgro, ownership of Adorabella Limited is held by a trust, the economic beneficiaries of which are Andrey Guryev, Vice President of the Russian Union of Chemists and Deputy Chairman of the PhosAgro Board of Directors, and members of his family. In addition, according to information available to PhosAgro, ownership of Chlodwig Enterprises Limited, Carranita Holdings Limited, Fornido Holding Limited, Dubhe Holdings Limited, Dubberson Holdings Limited, Miles Ahead Management Limited, and Owl Nebula Enterprises Limited are also held by a trust, the beneficiaries of which are Andrey Guryev and members of his family. Together with Adorabella Limited, these companies own a total of 60.16% of PhosAgro's ordinary shares.

PhosAgro's free float has not changed as a result of these transactions and amounts to 20.3% of the Company's ordinary shares.
