BANK SAINT PETERSBURG OPEN JOINT STOCK COMPANY (short company name: OJSC Bank Saint Petersburg, registered address: 64A Malookhtinsky pr., 195112, St. Petersburg, Russian Federation, OGRN (principal state registration number): 1027800000140, General Banking License of the Bank of Russia No. 436 of August 15, 2014, INN 7831000027, KPP 783501001) would like to inform you of the following: the extraordinary General Shareholders' Meeting of BANK SAINT PETERSBURG OPEN JOINT STOCK COMPANY held on September 30, 2014 (Minutes No. 1/31 of October 2, 2014) passed the resolution to reorganize BANK SAINT PETERSBURG OPEN JOINT STOCK COMPANY through merger of EVROPEISKY Investment and Commercial Bank Closed Joint Stock Company (short company name: CJSC EVROPEISKY ICB, registered address: 39 ul. Kutuzova, 236010, Kaliningrad, Russian Federation, OGRN 1023900000761, General Banking License of the Bank of Russia No. 1616 of July 25, 2012, INN 3905041369, KPP 390601001) into OJSC Bank Saint Petersburg.

The procedure for reorganization of credit institutions is regulated by Federal Law "On Banks and Banking Activities", Federal Law "On Joint Stock Companies", Instructions of the Bank of Russia No. 135-I of April 2, 2012 "On the Procedure for Passing Resolutions Concerning State Registration of Credit Institutions and Issuance of Banking Licenses by the Central Bank of the Russian Federation", Regulations of the Bank of Russia No. 386-P of August 29, 2012 "On Reorganization of Credit Institutions through Combination and Merger".

The reorganization of BANK SAINT PETERSBURG OPEN JOINT STOCK COMPANY (hereinafter, OJSC Bank Saint Petersburg) through merger of EVROPEISKY Investment and Commercial Bank Closed Joint Stock Company (hereinafter, CJSC EVROPEISKY ICB) into OJSC Bank Saint Petersburg is divided into the following stages:

CJSC EVROPEISKY ICB is merged into OJSC Bank Saint Petersburg on the basis of the resolution concerning reorganization through merger passed on September 30, 2014 by the extraordinary General Shareholders' Meeting of OJSC Bank Saint Petersburg and the resolution concerning reorganization passed on October 22, 2014 by the Sole Shareholder of CJSC EVROPEISKY ICB.

After notifying its creditors of the resolution concerning reorganization, OJSC Bank Saint Petersburg shall submit to the Bank of Russia documents required for state registration of Amendments to the Charter of OJSC Bank Saint Petersburg in accordance with the procedure and within time limits stipulated by current laws of the Russian Federation. The amount of the authorized capital of OJSC Bank Saint Petersburg will not be changed by reorganization. OJSC Bank Saint Petersburg shall be deemed reorganized after the entry is made in the unified state register of legal entities concerning termination of operations of CJSC EVROPEISKY ICB.

Following the merger of CJSC EVROPEISKY ICB into OJSC Bank Saint Petersburg, the operations of CJSC EVROPEISKY ICB shall be terminated, and OJSC Bank Saint Petersburg shall become the legal successor of CJSC EVROPEISKY ICB.

Given the regulatory time limits for reorganization procedures, the reorganization of OJSC Bank Saint Petersburg is scheduled to be completed by December 31, 2014. This date is subject to change according to the actual timing of reorganization procedures.

The reorganization will result in the change of the name of OJSC Bank Saint Petersburg to BANK SAINT PETERSBURG PUBLIC JOINT STOCK COMPANY (short form: PJSC Bank Saint Petersburg). Registered address and other details of OJSC Bank Saint Petersburg will remain unchanged after the reorganization.

The list of banking operations to be performed by OJSC Bank Saint Petersburg (following reorganization, PJSC Bank Saint Petersburg) under its General Banking License:

taking funds of individuals and legal entities as deposits (demand and term);

placing the funds of individuals and legal entities taken as deposits (demand and term) in its own name and at its own expense;

opening and maintaining bank accounts of individuals and legal entities;

transferring funds by instruction of individuals and legal entities, including authorized correspondent banks and foreign banks, in their bank accounts;

issuing bank guarantees;

collecting cash, bills of exchange and promissory notes, payment and settlement documents and providing cash services for individuals and legal entities;

buying and selling foreign currencies in cash and non-cash form;

transferring funds without opening bank accounts, including electronic money transfers (except postal orders).

In view of the reorganization of OJSC Bank Saint Petersburg, individual creditors of OJSC Bank Saint Petersburg shall be entitled to claim acceleration of relevant obligations or, if such obligations cannot be accelerated, termination of the obligations and compensation of relevant losses, provided such obligations arose prior to the date on which this Notice is published in Vestnik Gosudarstvennoy Registratsii magazine.

In view of the reorganization of OJSC Bank Saint Petersburg, corporate creditors of OJSC Bank Saint Petersburg shall have the right to claim acceleration or termination of relevant obligations and compensation of losses incurred, provided the relevant legal entity has such right according to the terms of its contract with OJSC Bank Saint Petersburg.

Creditors of OJSC Bank Saint Petersburg may send their written claims to: 64A Malookhtinsky pr., 195112, St. Petersburg, Russian Federation, within thirty (30) days following the date on which this Notice is published in Vestnik Gosudarstvennoy Registratsii magazine.

Starting from the date of resolution concerning reorganization, and until the date the reorganization is completed, OJSC Bank Saint Petersburg will disclose material facts (events, actions) affecting the business of OJSC Bank Saint Petersburg by publishing relevant information in Sankt-Peterburgskiye Vedomosti newspaper and on the official website of OJSC Bank Saint Petersburg at: www.bspb.ru.
