OREANDA-NEWS.  Alexander Ermolenko, a FBK Legal Partner, participated in the 2nd National Forum on Corporate Law.

The Forum audience discussed topical issues of corporate law, including legislation developments and practical application of the reviewed norms and regulations.

The FBK Legal Partner spoke on the issue of Representations and Indemnity Agreements at the session «Reforming the Russian Civil Code as related to the Law of Obligations: for Lawyers to Note». He noted that the new developments in the legislation aim to improve business environment; still to apply them effectively lawyers need clear understanding of the nature of the norms and regulations and their actual applicability.

Alexander Ermolenko went on to say, «The Russian corporate law has changed quite dramatically over the past year. Current legislation is catching up with business practices to incorporate new norms and regulations to govern options, purchase of participation interests and obligations to sell them, the lender-debtor relations, specifically, the influence of the lender exercised over the debtor, nominal value of privileged stock and other. And this is, no doubt, an evidence of considerable progress in this area». He noted that to further improve the legislation landscape law makers should respond dynamically to the needs lawyers face in their day-to-day application of new norms and regulations.
