OREANDA-NEWS. On May 14, 2007 the Federal Antimonopoly Service (FAS Russia) authorised "Gasprom" OJSC to buy 49,81% voting shares of "Mosenergo" OJSC. At the same time, FAS Russia issued a determination requesting "Gasprom" to advance market competition. On 30th March 2007, "Gasprom" filed a petition on purchasing 49,81% voting shares of "Mosenergo", which jointly with the shares currently in the copany's ownership would amount to 63,93% voting shares of "Mosenergo", reported the press-centre of FAS Russia.


FAS Russia concluded that the transaction would lead to vertical integration of "Gasprom" with an economic agent that was a consumer of "Gasprom" services. Having analyzed economic consequences of the transaction, the antimonopoly service foresaw a possibility of adverse impact by "Gasprom" on the wholesale energy market in form of determining the volume and price of gas consumed by electric power station that are in competition with "Mosenergo". Therefore, FAS Russia issued a determination to "Gasprom" to undertake actions towards competition advancement.


According to the determination, "Gasprom" should not allow discriminatory conditions in supplying gas to the economic entities on the wholesale energy market within the boundaries of the first price zone, as well submit monthly reports to FAS Russia confirming that the above requirements have been observed. The determination will be in force throughout the period when the "Gasprom" OJSC group of persons owns majority voting shares of "Mosenergo" (50%+1 shares to 100% shares); or when the above group of persons can use the voting rights over "Mosenergo" shares on any other statutory grounds specified in the determination.
