OREANDA-NEWS. On July 11, 2007 Board of Directors’ meeting has commenced at the Gazprom Headquarters, reported the press-centre of Gazprom.

The Board approved the Filing Rules for Shareholder Proposals and Requirements Relative to the Gazprom General Shareholders Meeting Convocation.

The rules will appear on the Investor relations page of the Company’s website.

The Board also determined to reward PricewaterhouseCoopers Audit for auditing the Gazprom Financial Reports of 2007 and the Board’s Action Plan for the second half-year.

The Filing Rules for Shareholder Proposals and Requirements Relative to the Gazprom General Shareholders Meeting Convocation were developed in the aim of executing shareholders rights to submit proposals for an annual General Shareholders Meeting’s agenda and require a special meeting convocation.

The document complies with the Russian Federation’s law and Gazprom Charter requirements and also with the recommendations of Russian Code of Corporate Conduct and Gazprom’s Code of Corporate Governance (Conduct).

The rules fully reproduce the preparation and filing regulations for proposals and requirements by shareholders.
