OREANDA-NEWS. On August 28, 2007 Svyazinvest held a repeat annual general shareholders meeting at which the holding’s 2006 were presented, reported the press-centre of Svyazinvest.

The following issues, approved by the BoD on July 26, were on the AGM agenda:
 
Approval of the company’s annual financial statement;

Approval of the company’s annual accounting reports, including the P&L statement (profit and loss accounts);

Approval of the allocation of the company’s profit based on the results of 2006;

On the total amount, schedule and form of 2006 dividend payment;

Election of the members of the company’s Board of Directors (Supervisory Committee);

Appointing 5 members of the company’s Audit Committee;

Election of Audit Committee members;

Approval of the company’s auditor;

Approval of the new version of the company’s Charter.
 
On the first item on the agenda, the Company’s annual report was approved.
 
On the second item, the accounting reports were approved, including the 2006 P&L statement (profit and loss accounts);
 
On the third item, the company’s 2006 profit allocation was approved as follows: Rub 200,766,000 is to be allocated for dividend payment, and Rub 50,000,000 left at the company’s disposal for investment activity.
 
On the fourth item, dividends were approved as Rub 0.010286 per one common share.  Dividends are to be paid out in cash form by wiring funds to shareholders’ accounts within 60 days of the decision to pay out dividends.
 
On the fifth item, the Board of Directors was elected with the following lineup:
 
Anton Vladimirovich Abugov, first vice president, AFK Sistema;
Kirill Gennadyievich Androsov, deputy RF Economy Minister;
Boris Yevgenievich Gorbunov, deputy Minister of Telecommunications;
Alexander Yevgenievich Gorbunov, vice president of business development of corporate center, Comstar OTS;
Alexander Nikolaevich Kiselev, CEO, Svyazinvest;
Vasily Mikhalovich Popik, deputy head of expert administration of the RF President;
Lyudmila Ivanovna Pridanova, deputy director of Federal Property Management Agency;
Leonid Dodozhonovich Reiman, RF Minister of Telecommunications;
Vadim Alekseyevich Stepanov, state secretary, deputy director of RF Federal Security Service.
 
On the sixth item, five appointees were named to the company’s Audit Committee.
 
On the seventh item, the company’s Audit Committee was appointed as follows:
 
Dmitry Anatolyevich Kononov, deputy head of the division of transport and communications restructuring of the department of state regulation for tariffs and infrastructural reforms attached to the RF Economic Development and Trade Ministry;

Evgeny Fedorovich Mikhailov, deputy director of the division of state regulation for tariffs and infrastructural reforms attached to the RF Economic Development and Trade Ministry;

Egor Nikolaevich Polyakov, head of the administration of property records, appraisal, and control of use attached to the Federal Property Management Agency;

Irina Sergeyevna Prokhorova, deputy head of administration, chief accountant of Rossvyaz;

Luybov Stepanovna Timoshenko, director of the department of economic policy and finance attached to the RF Minister of Telecommunications.
 
On the eighth item, Ernst & Young was approved as the company’s 2007 Auditor.
 
On the ninth item, the issue was raised concerning approval of the new version of the company’s Charter. No decision was adopted.
 
Leonid Dodozhonovich Reiman, RF Minister of Telecommunications, was elected at the first meeting of the new Board of Directors.
