OREANDA-NEWS. On 19 June 2009 was announced, that the Annual General Meeting of Shareholders of Ingosstrakh IJSC was held, and the decision was made to allocate RUB 130 ml (16.95 % of the net profit) to pay dividends on the shares of Ingosstrakh IJSC for 2008, and not to distribute RUB 636ml 862k (83.05 % of the net profit) as capitalized profit.

The shareholders of Ingosstrakh IJSC elected the Board of Directors composed of nine members as follows:

1. Bortniayeva Olga Viacheslavovna – Deputy General Director, Finance and Operating Performance, OOO Element Leasing,

2. Vetrova Daria Aleksandrovna – Chief Legal Adviser, Representation of PPF Investments (Russia) LIMITED (Republic of Cyprus),

3. Vikhanskiy Oleg Samuilovich – Dean, MSU Graduate School of Business Administration,  Doctor of Economics, Professor.

4. Volkov Mikhail Yurievich – Managing Director, Insurance and Pension Benefits, OOO Kompania Bazovyi Element,

5. Garina Irina Radamirovna – Advisor to the Head of the Representation of PPF Investments (Russia) LIMITED (Republic of Cyprus),

6. Elinson Andrey Mikhailovich –  Director, Corporate Governance and Internal Control Department, OOO Kompania Bazovyi Element,

7. Zinovieva Olga Nikolaevna – First Deputy General Director, OOO Kompania Bazovyi Element,

8. Neiman Dmitriy Viacheslavovich – Head of Mergers and Acquisitions Directorate, Deputy Director of Mergers and Acquisitions Department, ZAO Glavstroy Management,

9. Sedykh Alexander Borisovich – Head of the Representation of PPF Investments (Russia) LIMITED (Republic of Cyprus).

Ernst and Young (Moscow) was appointed auditor of Ingosstrakh IJSC for 2009. Besides, the shareholders elected the Revision Commission, approved the Annual Performance Report of Ingosstrakh IJSC in 2008, the accounting balance sheet and  profit and loss statement for 2008, the Charter, the Regulation on the Board of Directors, the revised Code of Corporate Behavior of Ingosstrakh IJSC.

The shareholders also approved related party transactions and the list of associations and commercial organizations that Ingosstrakh plans to enter.
