OREANDA-NEWS. July 08, 2010. Chelyabinsk Zinc Plant (LSE, RTS, MICEX: CHZN) has held its Annual General Shareholders’ Meeting. Participants in the AGM, including shareholders and their representatives, control 82,39 % of the Company’s voting shares.

On behalf of the Board, Andrey Panshin, General Director of CZP, presented the annual report and CZPs financials for the year ended December 31, 2009.

The AGM approved the annual report and the financial statements, including the Profit and Loss Statement for 2009. The AGM approved the allocation of undistributed profit based on the results of the 2009 financial year to finance the priority projects established by the Board of Directors of CZP and voted in favor of not declaring and distributing dividends based on the results of the 2009 financial year.

The Shareholders elected the Board of Directors. The following members were elected to the Board:

Vladimir Bublik (Doctor of Juridical Science, rector of the Ural State Law Academy)

Oleg Meluhov (PhD in Technical Sciences, director for corporate relations of the LLC “UMMC-HOLDING”)

Igor Myskin (General Director of the CJSC “Skat-Reil”)

Stanislav Naboichenko (corresponding member of the Russian Academy Of Sciences, Doctor of the Technical Science, president of the Ural State Technical University)

Andrey Panshin (PhD of Technical Science, General Director of the JSC “CZP”)

Alexander Tatarkin (academician of the Russian Academy Of Sciences, Doctor of the Economic Science, director of the Institute of economics Ural branch of RAS)

Rinat Shakirzyanov (commercial and financial depute General Director of the JSC “CZP”)

The Shareholders also approved the composition of CZPs 3-member Audit Commission, nominated LLC "Agency Taxes and Financial Law” and ZAO PricewaterhouseCoopers as auditors of the Company, resolved to pay the remuneration to the members of the Board of Directors and approved a related party transaction.

On Monday, June 28, the newly elected Board of Directors held its first meeting. Oleg Meluhov was re-elected as Chairman of the Board.

The Board of Directors also approved the composition of the Board’s Audit Committee, headed by an independent director - academician of the Russian Academy Of Sciences, Doctor of the Economic Science, Director of the Institute of economics Ural branch of RAS Alexander Tatarkin.
