OREANDA-NEWS. February 25, 2011. Rostelecom (RTS and MICEX: RTKM, RTKMP; OTCQX: ROSYY) hereby announces that the Federal Financial Market Service (FFMS) has registered Rostelecom’s additional share issue for 2,216,163,000 common nominal book-entry shares with a par value of RUR 0.0025, which are to be placed by swapping them into the common and preferred shares of  CenterTelecom, Sibirtelecom, Far East Telecom, VolgaTelecom, North-West Telecom, Uralsvyazinform and Southern Telecommunications Company,  and Dagsvyazinform as part of the merger with Rostelecom.  The resolution on this issue was passed at the annual general shareholders meeting of Rostelecom on July 26, 2010.

In addition, the FFMS registered Rostelecom’s bond issue for a total of RUR 31.56 bln, into which the bonds placed by RTOs are to be converted.

The date for the conversion of RTO and Dagsvayzinform securities, as well as RTO bonds into the common shares of additional stocks and bonds of Rostelecom will be, respectively, the date on which entries are made in the Unified State Register of Legal Entities on the termination of activity of the respective merging company.
