OREANDA-NEWS. July 06, 2012. TransCreditBank held the Annual General Meeting (AGM) of shareholders on June 28, 2012 in Moscow.

The decisions made by the shareholders at the AGM include:

The AGM approved TransCreditBank’s annual report and financial statements for the year ended 31 December 2011.

The AGM resolved not to pay a dividend on its common shares over 2011 and approved the dividend on its preference shares in the amount of RUB 400,000, as per proposals of the Board.

The AGM re-elected the following Directors:

—Mikhail Zadornov, President – Chairman of the Board, VTB24

—Pavel Ilyichev, Deputy Head of Corporate Finance Department, Russian Railways

—Herbert Moos, Deputy President and Chairman of the Management Board, VTB Bank

—Dmitry Olyunin, First Vice President, TransCreditBank

—Tatyana Paramonova, CEO of ZHASO Insurance Company

—Ekaterina Petelina, Advisor to President – Chairman of the Board, VTB24

—Yuri Soloviev, First Deputy President and Chairman of the Management Board, VTB Bank

and elected new Directors:

—Alexander Zelenov, Director of Financial Institutions Department, State Corporation “Bank for Development and Foreign Economic Affairs (Vnesheconombank)”

—Alexey Krokhin, President, TransCreditBank

The AGM re-elected the current auditor Ernst and Young Vneshaudit as auditor of the Bank for 2012 and adopted the revised version of the Articles of Association of TransCreditBank.
