(Nasdaq:YNDX), one of Europe's largest internet companies, today announced the closing of the previously announced underwritten public offering by selling shareholders of an aggregate of 26,679,386 Class A shares, including 2,425,399 additional Class A shares sold pursuant to an option granted to the underwriters. The public offering price was USD 22.75 per share. Yandex will not receive any proceeds from the offering.

 Morgan Stanley & Co. International plc, Deutsche Bank Securities Inc. and Goldman, Sachs & Co. acted as joint bookrunners for the offering. Morgan Stanley acted as stabilization manager for the offering.

 An automatic shelf registration statement relating to the Class A shares of Yandex sold in the offering was filed on March 11, 2013 with the Securities and Exchange Commission (SEC) and became effective upon filing.
